Corporate Attorney The candidate will develop commercial agreements for company transactions dealing with customers and suppliers, participate in commercial negotiations, and maintain a high degree of organization and vendor and customer contract management. Develop and provide employee training on, insurance, HR matters, contracting and negotiation. Guide management on compliance and regulatory matters - environmental, OSHA, DOT. Assist CEO and CFO in managing relationships and budgets with outside law firms. Support, together with outside counsel, acquisitions and joint ventures. Develop and support HR guidelines. Review and negotiate real estate leases and transactions. Effectively collaborate with the finance team and outside counsel to manage SEC filings and information requests for the same (e.g., Form 4s and internal collection of proxy-materials), and coordinate other SEC matters with outside counsel efficiently and knowledgably in order to minimize outside cost. Effectively collaborate with the finance team to manage the Company's incentive equity plans and grants. Manage board materials, and a board portal, Manage the Company's insurance program. Have effective familiarity with negotiating and executing M&A transactions. Have a working understanding of public company reporting requirements, such as Form 8-K, 10-K, and 10-Q. Have a working knowledge of equity incentive programs. Evaluate and weigh multiple inputs and impacts of any decision or course of action. Identify proactive solutions that will eliminate or mitigate risks, and view risk withing commercial context. Base his or her decision making process on ethics and integrity. Create associations of trust and respect with key stakeholders. Deal with external parties (regulators, external counsel, politicians, clients) effectively. Deal with complex, significant matters that cut across legal and related areas. Keep abreast of legislative changes Proven general counseling experience in business environment. Overall broad legal knowledge (corporate law, litigations, labor law, etc). In-depth understanding of how legal issues affect organizations. Degree in Law and Licensed, or able to receive licensing, in Arizona or Florida. Minimum of 5 years in a corporate legal environment, with experience in a major law firm and in-house environment preferred.. Strong negotiator. Excellent oral and written communication. Analytical and organized. Experience with a blue-collar workforce is a plus. Experience with safety programs and OSHA a plus. Member of senior leadership reporting to CEO, responsible for advising the management team together with outside counsel.
