Corporate Counsel-Commercial Responsibilities: Independently draft, review and negotiate a wide variety of commercial or strategic agreements to meet business and legal requirements, including master sales, services, and SaaS agreements, as well as manufacturing and purchasing contracts for goods, services and raw materials. As the primary North America counsel for Proton Solutions, provide strategic advice on a variety of high-level, critical and time-sensitive issues and partner with the business team in the development and execution of their strategy. Collaborate with sales, R&D, quality, marketing, finance, intellectual property, strategic procurement, manufacturing, regulatory affairs, service and other departments or functions to analyze and further commercial, regulatory and legal imperatives. Negotiate with key customers, partners, suppliers, vendors, and (when appropriate) government agencies. Provide legal advice with respect to resolution, avoidance and mitigation of claims and disputes. Cooperate across corporate business units and departments and throughout a large group of affiliated companies to achieve optimal results while minimizing risk. Prepare and conduct/coordinate training to sales, sales order management, contract administration and other functional teams. Prepare and update playbooks, contract review policies and processes.

Qualifications: JD degree from a U.S. accredited law school. Licensed to practice law in at least one jurisdiction. 4+ years of transactional and commercial experience with an emphasis on directly handling and negotiating complex commercial agreements, including sales, services, SaaS and procurement contracts. A practical, proactive, collaborative and business-focused approach to problem solving with the ability to make sound decisions and exercise good judgment. Highly polished and effective negotiation, communication, listening and drafting skills, including those suitable for interaction with senior managers and executive leadership within a global and matrixed organization. Ability to operate as a team player who can effectively work with and manage competing priorities in a fast- paced environment. Ability to understand complex issues, assess risk, balance different perspectives, and provide confident and concise business-focused advice and counsel to all levels in the organization globally. Excellent interpersonal skills and proven ability to build strong and deep working relationships with internal stakeholders over multiple geographical locations. Fluency with data protection, privacy issues, and HIPPA related to business associates and covered entities is desirable. Experience in preparing negotiation playbooks and contract review policies is desirable. Prior experience working with health care, life sciences, and/or medical device companies a plus.
