Corporate Counsel II DUTIES: Give support on a variety of legal matters and projects related to the management and operation of a health care system by providing competent, timely legal advice and assistance informed by sound business acumen and knowledge of the business goals and objectives of the organization. Handle the review/preparation of contracts/leases and templates; the patient decision making, informed consent and advance directives; the privacy and security matters; medical staff matters; healthcare fraud and abuse matters; anti-trust; human subject research; real estate; EMTALA; third party reimbursement; risk management/compliance; federal and state tax matters, including exempt organization issues; advice on governance issues and operations; acquisitions or divestments; exempt organization issues; and 340B Drug Program. Should also coordinate response to subpoenas; provide excellent client service; draft policies; use business and legal judgment to balance an appropriate level of risk against business needs in particular situations; supervise, work closely with, and actively direct outside counsel to ensure organizational goals are met. Should also analyze legislation that impacts the organization and assist in responding to legislative and other inquiries. Advise administrators/department heads/chiefs of service of changes in law; participate in MHA and other activities to assist in policy development and to keep current with legal issues occurring in healthcare in Maine and nationally; provide in-service education on legal issues to management and staff as appropriately drive legal costs to a minimum by assessing risk and through the appropriate use of inside and outside counsel. Perform other duties as assigned.

QUALIFICATIONS: Must have a Juris Doctor (JD) degree from a law school accredited by the American Bar Association and active license to practice law in Maine. Should have 3-9 years of experience as an Attorney II. Must have demonstrated substantive legal experience, including primary and independent responsibility for significant legal matters. Must have a comprehensive understanding of and experience in the health care field as well as knowledge and experience working with healthcare-related statutes and regulations. Should have the ability to accomplish assignments timely with minimum supervision; excellent analytical, writing, and problem-solving skills; ability to communicate and work with many disciplines, such as leadership, medical staff, financial management, state and federal officials, internal and external clients, and other individuals and entities the organization interacts with; demonstrated organization, facilitation, communication and presentation skills; and demonstrated judgment and discretion.
