Associate Corporate Attorney The candidate will identify and analyze legal issues, drafting key documents, and handling day-to-day Company legal matters. Transactional work will include review, negotiation, and drafting a wide range of documents associated with commercial transactions, including agreements with vendors and customers. Provide legal advice in other substantive areas common to a large global food manufacturer, including, compliance, food regulatory, intellectual property, employment, bankruptcy, real estate, and litigation matters. Provide analysis and counsel on Company policy and regulatory issues. Involvement with the protection of intellectual property, nondisclosure agreements, outsourcing agreements, due diligence with respect to, mergers and acquisitions involvement with strategic business planning. Oversee the Legal Department's role in the Company Supplier Qualification Process, including but not limited to reviewing and negotiating procurement contracts and supplier insurance requirements. Provide legal counsel to the Company or its officials in various legal proceedings on issues arising from actual or anticipated lawsuits as well as federal, state and local government inquiries. Anticipate and guard against legal risks facing the Company. Develop and recommend the company and operating policy, procedural improvements and position on legal issues. Conduct and coordinate research into a variety of legal issues and provide advice on day-to-day Company legal issues. Prepare legal pleadings, motions, discovery and stipulations. Write, review and edit reports, opinions, correspondence, articles and other documents. Perform other duties or special projects as assigned. The candidate should have a J.D. degree from an American Bar Association (ABA) accredited law school and a good standing member of the state bar (Illinois preferred). Must have 2-5 years of experience in the foregoing functional areas at a law firm or prior in-house position, preferably with prior experience handling commercial disputes, (including insurance and risk management matters) mergers and acquisitions, commercial transactions, litigation, and/or intellectual property matters. Should have Excellent communication, business writing, and organizational skills and general knowledge of Adobe applications, Microsoft Office, Excel, and legal research services. Must have sound business judgment and strategic thinking ability with the flexibility to work on a variety of projects simultaneously and under deadline pressures independently or as part of a team. Ability to understand the Company's business thoroughly and provide practical legal solutions in furtherance of corporate goals.
