Corporate Counsel The candidate provides legal advice and support to the organization under the supervision of a senior attorney by responding to legal issues and needs for an entire business sector (e.g. Nuclear, Generation, Integrated Grid & Energy Systems, Electrification & Sustainable Energy Systems and Transmission, Distribution & Infrastructure) or business area (i.e., international, IT, Finance, etc.). Provides legal services under the direction of a senior attorney and with the guidance of other experienced attorneys, including legal advice, representation, and support to management and staff to facilitate achievement of the Institute's goals, while anticipating and managing risk. Support of Transmission, Distribution & Infrastructure group with opportunities to develop expertise in the areas including but not limited to Human Resources and Employment Law, Environmental, Health & Safety, Artificial Intelligence, Sensitive Energy Information and Controlled Unclassified Information. Responsibilities may also include supporting the development of services initiatives. Work allocation will evolve according to the needs of the business. Analyzes proposed contractual and licensing transactions in assigned areas of responsibility (including TD&I and AI) and evaluates compliance with applicable law and policy. Reviews and drafts transactional and other documents within risk and operating parameters and in teamwork with other attorneys (including outside counsel, as appropriate), contract negotiators and other stakeholders. Provides advice and support on OSHA, NC Radiation Protection and other environmental, health and safety matters and compliance matters as assigned. Participates in teams or internal corporate activities beyond the specific legal areas of responsibility (e.g., processes, policies, cross-functional problem-solving teams). Serves as the site attorney for Lenox facility. Makes recommendations to senior attorneys or management on variance from standard policies and legal terms. Works on problems of complicated scope where analysis of situations or data requires a review of a variety of factors. Supports Human Resources & Diversity on employment matters and investigations. Mentors others in the department and seeks out learning opportunities for the department.

The candidate should have a Law Degree from a nationally accredited law school with a Bar membership in good standing in North Carolina. Must have 1-5 years applicable experience, preferably both in a law firm and in-house (energy, non-profit or research a plus). Experience with electric utilities or nonprofits a plus. Familiarity with employment, environmental, health, and safety laws and Sensitive Energy Information/Controlled Unclassified Information is also a plus. Experience with tax exemption laws applicable to scientific research organizations is helpful. Experience drafting a variety of agreements (e.g., licenses, nondisclosure, procurement, sourcing, funding, etc.) is required. Working knowledge of IP law (including patentability, patent infringement, protection of trade secrets, copyright, and software licensing) is necessary. Strong legal drafting and negotiation skills are a must. The ability to prioritize and juggle competing demands with a moderate level of support from the other attorneys is a prerequisite.
