Corporate Counsel I The candidate will provide professional legal advice and counsel in all areas of commercial transactions, including managing contracts from negotiation through implementation. On an ongoing basis, provide contract drafting and negotiation and related client counseling for multiple business clients, including advising clients on day-to-day legal and regulatory issues. As needed, provide support in connection with the management of special projects and other department or company initiatives. Draft, analyze, interpret and negotiate a variety of contracts including, services agreements, technology agreements, contracts for the purchase of goods and services, statements of work, and contract amendments. Identify legal and potential business issues in contract matters and work with internal business clients to develop a negotiation or risk mitigation strategy. Conduct legal research and summarize laws, cases and other regulations as requested. Manage special projects or other department or company initiatives. Typically report to Senior Corporate Counsel, Assistant General Counsel or Associate General Counsel.

The candidate should have a Juris Doctorate degree or equivalent and required certifications for practicing law. Must have 3+ years of relevant work experience. Experience with vendor agreements is preferred. Should have project management and client service skills, including the ability to work as a team member to maintain project timelines and foster strong relationships with business clients and team members. Proven drafting and negotiation skills are required. A high degree of oral and written communication and analytical skills are needed. Ability to articulate business needs clearly and accurately and present clear and concise solutions allowing business clients to make strategic decisions are essential. The ability to confront conflict and difficult issues in a professional, assertive and proactive manner is necessary. The ability to develop, organize, implement and manage standard procedures is a must.
