Associate Director, Corporate Counsel

Associate Director, Corporate Counsel Duties: Preparing and reviewing all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests. Working on corporate governance matters, including assisting in the preparation of certain corporate policies and materials for board and committee meetings. Coordinating and advising on equity compensation matters in collaboration with our Finance and Human Resources departments. Preparing, reviewing, and negotiating a diverse range of agreements common to the biotechnology industry, including clinical trial-related agreements, master services agreements, consulting agreements, employment-related agreements, sponsored research agreements and lease agreements. Assisting with business development transactions. Supporting company's alliances and providing legal advice as needed. Providing legal advice on disclosure matters, including investor presentations, press releases, and other corporate internal and external communications. Developing and providing internal trainings on topics such as insider trading compliance, confidentiality, Regulation FD, and responsible communication. Providing advice in a wide array of practice areas and special projects as needed. Keeping current on industry-related laws and regulations and creating or modifying policies and procedures based on such developments. Managing and directing outside counsel when outside expertise is needed.

Qualifications: JD Degree from an accredited law school and admitted to practice in Massachusetts or other U.S. state.. 2-4 years of experience in-house or with a national law firm, including securities and corporate governance experience. Strong communicator. Desire to challenge the status quo.
