Senior Corporate Counsel Securities Responsibilities: Participate in the review and filing of periodic reports (Form 10-K and Form 10-Qs) and current reports (Form 8-K). Review investor relations materials and disclosures in connection with investor conferences and annual investor day. Provide advice and support for general securities matters including Reg FD compliance and Reg G compliance. Support preparation of proxy statement for annual meeting, including preparation of responses to shareholder proposals. Monitor ratings and reviews by proxy advisors and other corporate governance and ESG ratings for impact on corporate governance practices and disclosures. Assist in preparation and review of other specialized disclosures including sustainability reporting and annual ESG report. Assist with review of board and committee meeting materials, preparation of agendas for meetings and documentation of meetings. Monitor corporate governance developments and best practices for ongoing review against Delta's practices. Serve as Assistant Secretary for specified operating subsidiaries and support corporate governance programs for subsidiaries including documentation of intercompany agreements. Support Treasury Department in capital markets transactions, primarily debt offerings, including offerings of Enhanced Equipment Trust Certificates. Manage and oversee diligence processes for all of securities offerings and other financing transactions. Participate in and provide advice on transactions involving other public companies, including investments in international airlines, and other investment transactions including in private companies and joint ventures. Qualifications: JD Degree and state Bar admission required. 4+ years of work experience in a law firm corporate practice, with a focus on securities transactions, general securities compliance and corporate governance. General understanding of financial reporting and financial statements. Ability to work quickly and competently to prioritize, manage, and multi-task in a fast pace working environment. Ability to deliver sound, clear, practical legal advice in a business setting. Ability to develop strong working relationships with internal clients. Problem solving, solution minded approach to collaboration. Demonstrate core values of integrity, respect, perseverance.
