Corporate Counsel Duties: Maintain and assist with the Company's corporate governance and corporate secretary matters relating to the company's Board of Directors / Committees and parent organization. Includes drafting agendas, minutes and resolutions, and reviewing board materials. Serve as a legal team generalist, providing legal support to the business in a variety of practice areas. Draft, review and negotiate agreements with clients, vendors and service providers. Prepare, review and negotiate request for proposals. Provide legal advice and support with respect to employment and benefits issues Assist with regulatory inquiries, litigation matters, subpoena responses and internal audits. Provide legal advice and support to the firm on a variety of topics related to the investment management business including investment advisory, mutual funds, private investment funds, U.S. and international securities laws, derivatives, broker-dealer issues and ERISA. Assist with interpretations of emerging regulations as applied to a financial services firm. Work closely with inside and outside counsel and business groups on legal and compliance matters relating to the firm's various investment advisory issues globally Draft, review and update various compliance policies and procedures relating to the investment advisory and mutual fund business. Provide legal advice and support in connection with new products, services and relationships. Qualifications: 3-5 years prior legal experience in corporate governance matters. Preference to candidates with investment industry, preferably in a law firm, and/or in-house position with a mutual fund or investment advisory firm, and/or the SEC. General understanding of the investment management business, securities markets and trading, and the global regulatory environment. Excellent communication and organizational skills. High level of reasoning ability is required. Ability to define problems, collect and analyze complex data and conflicting viewpoints, establish facts and draw valid conclusions. Excellent attention to detail and the ability to juggle multiple tasks and deadlines. The ability to work independently and in a fast-paced environment is required. The ability to work closely with business people and to resolve business and legal issues in a productive manner. Ability to interface and gain respect of stakeholders.
