Corporate Counsel Duties: Responsible for working with senior management to guide Intellectual Property (IP) strategy and vision for HTG Molecular Secure protection for HTG IP and advise all areas of the business on risks associated with valid third-party IP and possible mitigation strategies. Oversees negotiation and completion of agreements, confidential disclosures, material transfer, licensing agreements and other intellectual property related matters. Advises the company on day-to-day legal matters. Negotiate, draft, and implement a wide variety of complex, multi-party contracts including strategic alliances and joint ventures. Select and supervise outside counsel as needed to handle litigation, large transactions, or other matters where specific expertise is needed. Provide routine legal advice and perform general legal work for the company including preparation and review of agreements, vendor contracts and other transactional documents. Provide management with analysis of potential impact and information relating to newly enacted legislation. Secure protection for the company's intellectual property and minimize the risk associated with bringing new discoveries and innovation to the marketplace by ensuring respect for the valid intellectual property rights of third parties. Maintain and review a wide variety of form agreements, including, non-disclosure agreements, service agreements, and research agreements; Maintain central electronic contract files, and docket and monitor critical contract dates; Provide administrative and logistical support for the company's board of director and its committees (collectively, Board ), including scheduling for Board meetings, and prepare certain materials for Board meetings, including agendas and, as requested and supervised, presentations; Responsible for drafting, distributing and otherwise managing basic corporate resolutions and routine Board minutes; maintain records of all Board meetings and directors attendance. Provide support for a wide variety of corporate transactions, including organize closings, set up data rooms, coordinate the execution of transaction-related documents and agreements; Assist with preparation and filing of various documents in support of the company's public?company disclosure obligations, such as Forms 3, 4 and 5, 8K, and, as requested, 10Q and 10K; Provide assistance and support with the development and management of the company's intellectual property (IP) portfolio, including preparation of standard patent prosecution and IP-related agreements, keep organized and manage IP portfolio files, prepare patent portfolio summaries, as requested, and serve as a point of contact and source of instructions for outside patent counsel; Assist with planning and preparation of stockholder meetings and related documents and filings, including director and officer questionnaires.

Qualifications: Undergraduate degree in one of the following preferred: Life Sciences/Chemistry/Chemical Engineering/Biotech; advanced degree in the Life Sciences is preferred. JD Degree, licensed to practice law in one or more of the 50 states. 4 years experience in IP legal practice, preferably including domestic and international patent practice, trademarks, trade secrets, licensing, client counseling, opinion work, and IP litigation management. 5+ years of broad-based, sophisticated legal experience encompassing corporate matters. Experience in the patenting of in vitro diagnostic devices or pharmaceuticals preferred. Experience with international legal matters preferred. Experience in medical device, biotechnology or pharmaceutical industry. Sophisticated transactional experience including experience with complex corporate agreements, such as, mergers and acquisitions, contracts, joint ventures, and strategic alliances.
