Trade Compliance Counsel Duties: Collaborate with the CL&CO, Associate General Counsel & VP of Global Compliance, and Director of Global Trade Compliance to further grow and develop the corporate trade compliance program globally. Provide legal advice to the trade team, business operations, and other key stakeholders on a broad range of export and import-related matters. Support the trade team in developing trade-related corporate policies, procedures, guidelines, classification matrices, and Technology Control Plans. Collaborate with the trade team and cross-functional teams to support, further develop, and implement II-VI's trade programs in compliance with applicable laws and regulations. Support the Trade Team on matters relating to export and deemed export licensing (including drafting and editing license applications and letters of explanation), as well as disclosures (including investigations, drafting and editing disclosures, and interacting with government agencies). Support the Trade Team in the enforcement of a governance framework, including early detection and testing/monitoring plans to ensure operations remain in compliance with applicable laws and regulations. Collaborate with the trade team and business to develop and implement end-to-end export-compliance operational architectures. Monitor legal and regulatory developments and work with the Trade Team to ensure clear communication to senior leadership and stakeholders. Collaborate with the Trade Team to ensure ongoing and relevant identification, monitoring of import, export and sanctions compliance risks are assessed to identify potential areas of improvement and developing/implementing mitigation strategies, such as customized compliance programs, policies, processes, and other corrective actions. Prepare and conduct export compliance training sessions to employees globally. Work with internal auditors and others to develop and execute an export compliance audit plan. Coordinate internal compliance review and monitoring activities. Work with the II-VI Director of Global Trade Compliance to conduct internal trade compliance investigations and prepare voluntary self-disclosures and corrective actions to the respective U.S. government agency, as necessary. Advise the Executive Leadership Team and other management on trade compliance-related matters. Support trade compliance due diligence activities relating to corporate mergers and acquisitions. Monitor and track export control and related laws and regulations that will impact II-VI's business. Identify opportunities for savings, including on customs duties, clearance costs, and appropriate shipping terms. Plan, organize, manage and delegate projects involving outside legal counsel. Lead and manage trade-related projects. Manage and support other compliance-related projects as requested by the CL&CO and Associate General Counsel and Director of Global Compliance.

Qualifications: A law degree from a U.S. law school and be an active member in good standing with a state bar association that will be their principal work location is required. 5+ years of experience working as an attorney on trade matters in a government agency, law firm, or in-house legal department in an international environment, with an emphasis on export controls, including the U.S. Export Administration Regulations (EAR), ITAR, and OFAC regulations. Experience in export control compliance, including translation of export control and sanctions legal requirements into business practice, working with U.S. agencies, conducting internal risk assessments, developing mitigation strategies, and providing training to the organization. Experience supporting all aspects of complex trade compliance programs, including: Pproviding legal guidance on day-to-day trade matters; translating export control and sanctions legal requirements into business practice, conducting internal risk assessments, developing mitigation strategies, and providing trainings to the organization; collaborating with business partners to developing creative and compliant solutions to complex global trade compliance issues; preparing policies and procedures, disclosures, license applications and letters of explanation, and other written documents. Experience working cooperatively with multiple functions (legal, finance, human resources, marketing, business development, supply chain, engineering) and business units of a global company to achieve trade compliance goals. Excellent writing, communication, and collaboration skills. Making recommendations to upper management that require a sophisticated understanding of the global trade compliance ecosystem, and sound judgment regarding the interpretation of unclear regulatory areas. Demonstrated ability to provide options and solutions to trade-related problems and challenges, in order to keep the business running as efficiently and effectively as possible. Hands-on project management experience, including excellent organizational skills, the ability to manage multiple and varying mission-critical projects at once, and to follow through and meet deadlines. Expert knowledge and understanding of U.S. import/export laws and regulations, and of international conventions and practices relating to global trade. Familiarity with the trade compliance regimes of other II-VI key countries. Ability to communicate effectively, both orally and in writing, with corporate, functional, business unit counterparts in the US and other II-VI countries, as well as with U.S. and foreign government representatives. Proactively identify and provide creative solutions to mitigate risks. Manage crisis situations, work with tight deadlines, and prioritize under pressure. Ability to exercise sound judgement, and make difficult calls in the absence of clear regulatory or precedential guidance. Ability to travel domestically and internationally, as required. Proficient in PC-based environment and software (Microsoft Office).
