Senior Counsel - Insurance Duties: Provides objective, thorough, timely and well-researched legal advice and counsel to key business partners on insurance legal matters related to contracts, products and day to day company compliance with laws regulating insurance companies. Analyzes and advises on new and existing state statutes and regulatory requirements, to ensure investment, reinsurance and product compliance including implementation of new requirements with key business partners. Serves as liaison between leadership team and key regulators with respect to ongoing relationship management; responds to inquiries from regulators. Prepares insurance department regulatory filings. Interprets investments limitations imposed by states or other regulatory entities and applies interpretation to company practices and policies. Works collaboratively across the organization including with peers across Legal, Risk and Compliance and all levels of staff to ensure consistency of approach and practice across business lines and to limit the company s exposure to regulatory fines and penalties or other sanctions. Assists with and provides advice on reinsurance transactions including reinsurance treaties and concomitant supplemental documentation. Assists the reinsurance team within Finance in understanding and documenting reporting and review obligations under various reinsurance treaties. Assists the business in appropriately responding to state regulatory exams and helps frame the materials produced for the regulator. Works with, guides, and provides direction to outside counsel, representing AEL on insurance matters. Drafts, negotiates and finalizes complex legal contracts and documents. Supports the Compliance Department in advertising reviews, market conduct exam and complaint responses, filing objections, and other compliance matters with potential legal implications. Performs other related work as assigned.

Qualifications: JD Degree from an ABA accredited law school plus 8+ years of progressively responsible related legal counsel experience in the life insurance and annuities industry. Experience working with 3 or more state or country insurance regulators, preferably including the state of Iowa. Experience with investment limitations imposed by state insurance departments on statutory reserves, dividend approvals & obtaining permitted practices in the insurance market. Experience in obtaining reciprocal jurisdiction, insurance department licenses or changes to li sending, and accredited reinsurer status. Experience in reinsurance both within the US and outside the US. Experience drafting and implementing reinsurance treaties. Familiarity with insurance company reserves and financing methodologies for same. Familiarity and experience preparing and filing Form D's Form A's and other customary filings with insurance regulators. Ability to practice law within the US and admitted to the Bar in at least one US state. Strong legal skills across a range of areas and familiarity with legal concepts, practices and procedures. Deep familiarity of laws, rules and regulations applicable to the insurance industry in a multitude of jurisdictions. Proven ability to maintain effective relationships with regulatory entities. Ability to provide legal counsel and effectively deliver and prioritize legal services across various departments and functions. Clear understanding and adherence to ethical principles, company values, code of conduct and policies. Solid understanding of business operations and corporate issues. Strong customer service orientation. Effective verbal and written communication skills. Mathematical skills and strong attention to detail. Ability to work cooperatively and successfully with employees, customers, and other outside third parties. Strong organizational and planning skills. Proficient in the use of Microsoft Office Suite. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions. Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to successfully handle pressure and meet deadlines in a fast-paced work environment.
