Technology, Privacy, & Cyber Contracts Counsel Duties: Supporting the bank with regard to technology contracting. Reviewing and approving technology contracts on behalf of the technology legal team/legal department for the Company, negotiating favorable contract terms with vendors, and responding to related questions and concerns from business units. Assisting the greater technology & privacy legal team in supporting the Company with regards to the interpretation of privacy law and its application to our systems, offerings, and processes (both internal and customer-facing). Supporting establishing and protecting the Company's intellectual property (as well as legacy IP) and provide counsel on the implementation of marketing plans.

Required Qualifications: Juris Doctorate Degree from an ABA-accredited Law School and Licensed to practice law in good standing. 5+ years of post-Bar transactional legal experience specific to technology and outsourcing practice. Experience reviewing and negotiating contracts and addressing legal concerns relative to the offshoring of information technology. Experience counseling clients on cybersecurity matters, including the analysis of security risks in corporate transactions. A combination of applicable transactional experience in the areas of general corporate, corporate finance, information technology transactions, and/or financial institution experience. Proven self-starter willing to work independently and take on a good deal of responsibility, with a strong background in technology contracts and related work experience. General understanding and preferably some experience with the negotiation of cloud contracts. Understanding and general awareness of cloud-related concerns/topics including data privacy and security standards, disaster recovery, encryption, geographical restrictions, regulatory and compliance issues, service level requirements and penalties, change management processes, business continuity, mandatory flow-down of terms to subcontractors, and termination rights. Understanding of IT and Security technical concepts and methodologies. Proficiency in basic computer applications, such as Microsoft Office software products. Ability to prioritize matters, utilize time management skills, and move between matters fluidly. Ability to handle a heavy workload, manage stress effectively and meet critical deadlines. Team-oriented mentality and excellent interpersonal skills. Capability in information technology issues and developments. Preferred Qualifications: CISSP or CIPP Certification. Additional Certifications in the privacy and cybersecurity field. Experience in a corporate legal department, especially a financial institution, having successfully held positions of advancing responsibility. Experience with privacy-related laws and regulations, including those particularly relevant to the financial industry - GLBA, FCRA, FACTA, FDCPA. Background in supporting contracting efforts in-house at an organization relative to information technology, outsourcing, or cloud services. Experience with other strategic supply chain transactions. Knowledge of state privacy legislation such as CCPA/CPRA, VA, CO, and other state-level proposed legislation. Comfortable working in the entrepreneurial environment of a large, complex corporation.
