Commercial Contracts Counsel The candidate will work closely and provide strategic legal guidance to business partners for each of purpose-led, billion-dollar lifestyle brands, Old Navy, Athleta and Banana Republic, as well as corporate functional teams such as technology, information security, finance, strategy, communications, sustainability, human resources, marketing, facilities, logistics, supply chain, tax, accounting, product safety, strategic sourcing, located globally. Provide practical guidance and manage multiple complex and high-value matters simultaneously and often under time pressure. Report to the Senior Counsel and leader of the Commercial Contracts Legal Team based in San Francisco. Provide strategic legal and business advice to facilitate long-term relationships with key partners. Provide commercially oriented, practical and strategic legal advice and guidance to the business in relation to all aspects of complex and high-value third-party agreements (in particular those with a technology focus). Draft, review and negotiate a broad range of agreements related to technology, software, SaaS, payments, e-commerce, manufacturing, transportation and logistics; marketing and advertising, consulting and services, talent and partnerships. Collaborate with other Legal groups and subject matter experts to analyze and assess legal risks to advise the business balancing sound risk/reward ratio. Manage numerous projects and complex matters simultaneously under deadline pressure. Provide timely, concise and business-focused advice to business partners from every function on relevant legal issues and risks, agreements, approval processes, company policies and procedures. Support Head of Commercial Contracts Legal as appropriate in the evolution of our contract process and policies including use of tools and databases or trackers to drive towards efficiencies and productivity. Navigate the matrixed organization deftly and effectively to support the business to achieve its goals while protecting interests. The candidate should have a J.D. degree. Licensed to practice law in the US with 7+ years of experience in a reputable law firm and/or multinational companies required; In house experience greatly preferred. Should have experience in drafting, negotiating, counseling and problem-solving in a broad range of commercial transactions including agreements related to technology, software, SaaS, payments, e-commerce, manufacturing, transportation and logistics; marketing and advertising, consulting and services, talent and partnerships. Should have a practical mindset with the demonstrated ability to provide strategic counseling to business partners that balances legal considerations and business objectives, cutting through complexities deftly and driving to solutions, excellent communication, collaboration, counseling, decision making, problem-solving and influencing skills, emotional intelligence and ability to work cross-functionally with stakeholders at all levels and effectively navigate complex organizations, ability to handle multiple complex matters concurrently and effectively prioritize work to efficiently achieve business objectives, excellent judgment and integrity with a demonstrated commitment to inclusion, diversity and community involvement/pro-bono work.
