Senior Corporate Counsel Duties: Managing a wide range of sophisticated health information technology, healthcare and ordinary course commercial contracts, licenses, and transactions. Providing advice & counsel and legal support on general corporate matters, regulatory compliance issues, data privacy/security, IP issues, HIPAA, governance, M&A activity, and employment law matters. Working closely with various company business units, including senior executives and general managers of the company lines of business. Ensuring that agreements follow statutes, regulations, company and contractual requirements. Reviewing and monitoring legal trends that may impact business goals and objectives. Qualifications: Must have JD Degree from an accredited law school. 7 ? 12 years at a law firm or in-house as a regulatory & compliance or corporate & transactional attorney. Demonstrates experience drafting transactional documents and contract management. Ability to work effectively in a rapidly changing environment. Strong organizational and time management skills. Ability to adapt to constantly changing priorities in managing a wide variety of projects, while demonstrating initiative, accountability, and leadership. Strategic and analytical thinking. Sound decision-making ability. Must have a passion for and strong experience drafting contracts as this will be the major scope of work. Must show success with contract negotiations. Must have excellent written and verbal communication as you will be delivering numerous presentations. Must be organized as will be working on as many as 6 contracts at a time. Should have experience with licensing and intellectual property. Should have a client-centric mentality; balancing theoretical and legal risks with what we are trying to achieve with our clients. Should have knowledge of Healthcare, HIPAA, HITECH. Should be comfortable working in a fast-paced environment. Should have experience supporting Providers and medical clearinghouses.
