Corporate Counsel, Network & Technology Transactions

Corporate Counsel, Network & Technology Transactions The candidate will structure, draft, review, negotiate, and interpret critical contracts, including OEM technology purchase agreements, network support agreements, network development agreements, hardware manufacture and supply agreements, services agreements (including outsourcing, cloud service, SaaS software as a service, software licensing, managed services, and infrastructure as a service), software/technology licenses, and general product and service procurement agreements. Advise senior business executives and their teams on legal issues related to network and IT procurement, including intellectual property, import/export regulations, privacy and data use. Develop an understanding of business goals and the technology necessary to achieve them. Collaborate with peers and leaders in legal department and client business units, among others, ensure project and deal outcomes align with priorities, support company goals, comply with legal requirements, and adequately mitigate enterprise risk. Liaise between network and commercial leadership and Legal leadership. Help develop processes for legal reviews and participate with network product development and launches. Support internal legal department teams for contract template revisions and contracting best practices, as requested. A U.S. law degree and admission to at least one state bar required. Should have 3+ years of experience structuring and drafting complex technical and commercial deals. Must have excellent organizational, analytical, and communication skills with a strong record of effective cross-group collaboration. Should have in-house coupled with prior law firm experience is preferred, ideally working on commercial transactional, corporate, or regulatory aspects of network and technology transactions (including services, hardware and software).
