Assistant Corporate Counsel The candidate will draft, review, negotiate and edit a wide variety of commercial contracts, including supply agreements, co-pack agreements, broker agreements, marketing agreements, logistics and transportation. agreements, NDAs, professional services agreements and master services agreements. Identify business risks associated with commercial terms and propose mitigation strategies. Negotiate with external customers on all vendor and client contracts, business associate agreements and other commercial transactions. Prepares and disseminates information to appropriate employees regarding contract status; facilitates contractor meetings. Provides contract summaries and ensures contract execution in accordance with AAA policy. Prepares and files government reports and provide general legal advice to all business lines. Reviews new business relationships with vendors and subcontractors. Ensures that AAA is in compliance with contractor legal requirements, owner specifications and government regulations. Highly autonomous and self-motivated work ethic; demonstrating sound judgment, initiative, and an ability to manage multiple priorities with a sense of urgency required. Uses time effectively; anticipates obstacles, adjusts priorities as needs change and keeps others informed of progress required. Ability to handle ambiguity, prioritize, and manage multiple cross-functional projects to completion with little direction, and quickly shift from one situation or task to another required. Understanding of current development practices, including Agile development required. Knowledge of service provider models including, SaaS, ASP, and Cloud-based models required. Ability to work in a fast paced, complex environment required. Excellent oral and written communication skills, ability to communicate effectively with all levels of the organization internally and externally required. Excellent interpersonal skills, be self-motivated, and be adaptable in a fast paced, dynamic, deadline-driven environment required. Doctor of Jurisprudence (J.D.) degree from an American Bar Association-accredited law school required. 4 years of legal practice in-house or with a law firm; with three or more years negotiating and drafting complex technology contracts required. Comprehensive knowledge of law and practices applicable to legacy and emerging technologies, systems development, intellectual property, and other areas of technology law required. Experience working directly with IT personnel in development, security and operational positions required.
