Corporate Counsel Responsibilities: Provide legal counsel and support to Environmental, Operating, Real Estate, Marketing, and Planning Departments. Provide legal advice and counsel on environmental, regulatory, and commercial matters across our 22-state network. Ensure maintains legal and regulatory compliance while collaborating with our internal business partners to meet their business needs and achieve strategic goals. Providing advice and counsel on regulatory compliance with federal laws and economic and safety regulations related to rail transportation and advising business groups on commercial matters, including drafting and negotiating transportation contracts, joint use agreements and other initiatives for the shipment of commercial products and commodities; providing support for legal issues related to potential environmental liabilities arising from historical operations; collaborating with internal accountants in setting appropriate environmental reserves; and evaluating proposed legislation, regulations, and other administrative law matters as they arise, in collaboration with others, to develop efficient and appropriate responses and resolutions.

Qualifications: Demonstrated experience in identifying and allocating environmental risks and handling multi-party remediation projects. Experience with major federal environmental laws including CAA, CWA, RCRA, CERCLA, NEPA and state cleanup laws. Experience negotiating with state and federal regulators impacting the rail industry. Experience handling complex real estate transactions and drafting and advising on commercial matters. Experience with other Federal agencies, laws and regulations pertaining to rail and/or surface transportation, including Surface Transportation Board and the Federal Railroad Administration. Decision-making including the ability to manage a varied case load and to participate in, or co-lead, cross-functional efforts. Identifying and considering alternatives using objective data. Strong oral and written skills; ability to summarize complex matters into presentations, memorandums, and action plans. Strong interpersonal skills. Self-motivated. Highly Desirable: Demonstrated experience in federal regulatory practice, particularly experience advising and representing on matters before the U.S. Department of Transportation (Federal Railroad Administration, Pipeline and Hazardous Materials Safety Administration, etc.) and/or the U.S. Surface Transportation Board. Experience handling complex commercial contract drafting and negotiating particularly in the transportation sector highly desirable. Familiarity with federal antitrust laws and application in corporate environment.
