Senior Director, Senior Corporate Counsel, M&A

Senior Director, Senior Corporate Counsel, M&A Duties: Support for the Legal Department's role in mergers and acquisitions, investment activity, and other strategic transactions. Lead all aspects of M&A and investment legal activities in coordination with other key company stakeholders. Post-closing integration support and coordination. Support in connection with governance, capital markets, and other related corporate matters. Support in the preparation of the company's 34 Act filings as needed. Lead outside counsel on a variety of matters as needed. Handle special projects as requested.

Qualifications: Must be a lawyer qualified to practice in at least one U.S. state and have a law degree from a reputable law school. 7-10 years ? experience practicing as an attorney with a national law firm or public company legal department. Experience with cybersecurity or software companies preferred. Significant experience in playing a leading role in M&A transactions. Experience with reviewing and assisting in the preparation of public company ?34 Act filings preferred. Familiarity advising on governance-related matters, including stock exchange requirements and interactions with proxy advisory firms. Working knowledge of executive compensation arrangements and equity plans as pertains to M&A. Working knowledge of activism and corporate preparedness.
