Corporate Counsel, Commercial Duties: Day-to-day vendor and procurement contract drafting, editing, and counseling, advising stakeholders of potential risks in contractual areas and proposing practical risk mitigation strategies; Providing creative and legally sound solutions for resolution of disputes with commercial business partners. Understanding tax, regulatory, workers compensation, employment law, employee benefits, health insurance, and other areas affected by proposed commercial transactions of the company, either without assistance or in conjunction with other members of the Company legal team; Updating current contract templates and developing new templates, as necessary, for use by key stakeholders, particularly the Company's procurement department and vendor operations. Researching and responding to questions from business colleagues related to contracting requirements. Other projects and responsibilities may be added at the manager's discretion.

Qualifications: JD Degree from an accredited law school. Member in good standing with the State Bar. 5-7 years Commercial Transaction and vendor and procurement contracting experience. Understanding of employment law, payroll tax, employee benefits, and/or insurance law experience is preferred. Experience advising and assisting high-volume vendor or procurement departments is preferred. Experience with technology transactions, licenses, purchases, and agreements is preferred. Demonstrated ability to use legal training to lead or influence operational process, procedure and strategy. Outstanding written & verbal communication skills, ?hands-on ? style and willingness to proactively engage with peers. Ability to work independently using sound judgment, business acumen, and legal principles. Ability to excel in an entrepreneurial growth organization. Outstanding responsiveness and flexibility to Company, sales, and customer needs. Demonstrated self-initiative, integrity, and resilience. Ability to lead large-scale projects and high-volume, small scale projects. Sense of humor. Commitment to high professional ethical standards. Effective user of PowerPoint, Excel, and other Microsoft tools to develop work plans, with developing ability to articulate complex issues, analyze data, and structure information.
