Corporate Counsel / Attorney The candidate provides advice and counsel to professionals on legal, risk, and compliance questions that arise in connection with the firm's projects and services. Performs contract review and provides advice and negotiation support to project teams for project agreements with public and private clients, teaming and joint venture partners, subconsultants and vendors. Serves as a key advisor to the firm's technology and consulting services division by providing, among other things, review and negotiation support on technology consulting agreements (e.g., software licensing and service level agreements, reseller agreements). Partners with outside counsel to evaluate and address legal issues arising in connection with the firm's cross-border activities and international projects in various geographies, including Canada and other foreign jurisdictions. Supports senior attorneys on mergers & acquisitions, joint ventures, entity formation and organizational activities undertaken by affiliated companies. Coordinates with other corporate groups (e.g., safety, accounting, HR, IT) to assist with development and implementation of corporate policies and processes. Assists with legal matters assigned by the General Counsel, including claims and litigation management, employment matters, collections, research projects, compliance and risk, and corporate governance. Should be Law school graduate (Juris Doctor/J.D.) from an accredited US Law School. Should have active State Bar License and member and in good standing of a state bar. Must have 5 years of practice as an attorney. Should have ability to collaborate with other members of the legal team and corporate administrative professionals (e.g., accounting, human resources, marketing) to develop coordinated responses and provide efficient, high quality service to internal business clients.s Experience advising corporate clients at a law firm or in-house law department. Should preferably have Strong academic credentials. Knowledge and experience in one or more of the following areas strongly preferred: Previous experience advising and representing clients in the engineering, architecture or construction industry. Understanding of traditional and alternative project delivery methods for infrastructure projects, including design-bid-build, design-build, P3, EPC, and CM@R. Experience with information technology consulting service offerings and products (SaaS, cloud-based systems), and contracting approaches. Familiarity with commercial insurance, particularly professional liability products, coverage, and claims; Experience working with international companies/affiliates on issues arising from global and cross-border transactions (e.g., immigration, foreign professional licensing requirements, anti-bribery and export compliance, etc.).
