Senior Director, Associate General Counsel Contracts Responsibilities: Develop, motivate, and provide strategic leadership to a team of lawyers and contract managers who negotiate complex customer, commercial, and strategic agreements, including master sales and service agreements, manufacturing, and supply agreements, consulting and confidentiality agreements, partnership agreements, and vendor agreements. Coordinate workflow, manage resources and maximize the output of the Contracts department by channeling work to appropriate persons, standardizing processes, and leveraging technology solutions. Draft and negotiate contracts with customers, partners, and vendors. Develop contract templates, playbooks, and other tools for negotiating sales and vendor agreements. Establish and track key metrics/benchmarks around customer negotiations, deal velocity, and managing company risk, to enable service and process improvements. Develop and maintain strong relationships with, and be a trusted business partner to, internal customers. Develop a deep understanding of the Company's business model and strategic objectives, as well as operations of internal business partners, to ensure they are effectively accounted for in the Company's contracting strategy. Train Sales and other business functions on contract terms, negotiation and mitigation strategies, and best practices.

Qualifications: JD degree; member in good standing of a state Bar. 10+ years of experience drafting, reviewing, and negotiating commercial contracts. 6+ years of experience managing lawyers and contract managers. 3+ years SaaS and professional services contracting experience. Experience integrating contract templates and contracting policies and processes of acquired companies. Experience with government procurement processes, rules, and regulations. Ability to think critically to identify issues and to offer pragmatic, actionable solutions. Strong prioritization and organization skills that enable consistent delivery of high-quality results across multiple competing priorities under tight timeframes. Outstanding interpersonal skills; ability to form strong relationships with internal teams. Excellent judgment. Highly effective communicator who translates complex legal concepts into practical, actionable advice. Ability to lead cross-functional teams, and be persuasive up, down, and across the organization. Ability to work proactively, collaboratively, and persuasively with internal and external clients to solve problems while protecting company interests. Firm understanding of revenue recognition principles. Demonstrated courage to do what is right, champion good ideas, make tough decisions, and take unpopular stances if required. An inspiring leader and team player who pitches in and collaborates effectively within cross-functional. Ability to help drive Omnicell's transformation from a hardware-focused company to an advanced service delivery and solutions-based services company. Preferred Qualifications: Healthcare industry experience, including negotiation experience with GPOs, IDNs, and other large healthcare groups. 5+ years of government contracting experience and management, including both D.o.D and VA. Experience with Salesforce and SAP.
