Corporate Counsel Duties: Provide legal counsel to business partners including senior management on complex legal matters affecting Limelight's business. Manage Limelight's securities law reporting and compliance programs, including drafting and reviewing annual, quarterly, and current reports and proxy statements. Assist on issues related to corporate governance, including drafting board consents and minutes, and committee charter updates. Review, draft, negotiate and manage various contracts of moderate complexity including commercial contracts for services, consulting and vendor agreements, and joint venture arrangements. Assist in mergers and acquisitions and other commercial transactions. Conduct legal research and provide counsel in connection with litigation and other legal issues. Qualifications: Advanced university degree in law (e.g. JD or LLB) required plus must have active Bar membership in Arizona. 6-8 years of strong securities law and public company experience. Experience can be from a combination of a large law firm and/or in-house experience. High ethical behavior. Accurate and detail-oriented without impeding progress. Excellent business writing, contract drafting, contract negotiating, and advising internal business partners on legal matters with business impact. Strong interpersonal skills, communication abilities, and a sense of teamwork and accountability. High level of initiative, confidence, and humility. Ability to appropriately influence others and maneuver in a matrix organization. Capable of managing ambiguity and change. Good business acumen and desire to understand Limelight Networks business in depth.
