Corporate Counsel Duties: Provide advice and guidance for a range of customer-facing agreements by drafting and reviewing customer-facing complex master agreements, order forms, statements of work and other related agreements and correspondence, anticipating legal concerns and providing creative problem solving in an agile and dynamic business environment; and, Provide advice and guidance commercial terms and risks regarding new products, international matters and enterprise risk, which often requires thoughtful and creative legal guidance and effective communication. Provide legal advice and guidance for procurement-related agreements. Draft and review agreements for third-party service providers. Discuss engagement or services with internal business stakeholders to understand business needs and potential risks. Collaborate with internal stakeholders in Legal, Finance and the business to execute agreements and facilitate timely payment. Create, update and maintain templates and playbooks for third-party engagements. Identify and implement supplier management processes enhancements. Provide legal advice and guidance on internal policies and procedures including information technology and information security. Support and develop processes to support third-party due diligence. Proactively provide advice and counsel to business on the impact and applicability of new and existing laws, statutes, regulations, rules, and other legal authority. Provide legal advice and guidance to ensure compliance with: various data security and privacy laws such as GLBA, GDPR, CCPA & CPRA, data retention and data deletion policy, and; TCPA and other marketing and advertising matters. Maintain and file reports for domestic and international corporate registrations. Draft UWCs and other entity management-related documentation. Contribute to the development of enhanced contract management workflows and potential technology solutions.

Qualifications: JD Degree or LLM, and active membership in at least one U.S. State bar preferred. 3-5 years' relevant experience, either at a law firm or in an in-house legal environment. Subject matter expertise in SaaS operations, commercial contracting, procurement, corporate governance, equity management, privacy and TCPA compliance. Organization, management and tracking of multiple detailed tasks and assignments with frequent changing priorities and interruptions in a fast-paced, and frequently, asynchronous work environment with strong follow up. Effectively and accurately communicates with customers, third parties, team members and other members of the organization. Analytical and critical thinking skills in reading, interpreting, analyzing and applying information from contracts or legal documentation and references. Attention to detail while maintaining a big picture orientation. Interpretation and application of policies, identifying risks and recommending changes as appropriate. Guide others in handling stressful situations and provide a high level of customer service Establish and maintain effective working relationships at all levels of the organization. Experience with implementing a SaaS-based contract lifecycle management solution. Technical familiarity with Salesforce CPQ, Docusign, Dropbox (or other similar file management software), Carta (or other equity management software), CT Corp (or other corporate entity management software), Excel and Word (specifically redlining and running comparisons).
