Associate Corporate Counsel

Associate Corporate Counsel Duties: Work closely with finance, accounting, and HR teams as well as other key business units to provide legal counsel and guidance on various matters. Provide corporate governance advice and support, including preparation of Board and Committee meeting materials and minutes. Provide legal advice on a broad range of corporate and securities matters. Support subsidiary governance including with respect to board meetings, state filings, resolutions and consents, returns and filings. Support corporate development activities, M&A efforts and other strategic corporate projects including performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration. Work on antitrust compliance issues including HSR filings and governmental responses. Partner with cross-functional teams including Human Resources, Accounting, Tax and other Legal functions. Manage projects effectively, with a team-oriented approach. Be comfortable managing competing priorities and deadlines while maintaining quality work product under pressure. Support of the Human Resources team includes: providing legal counsel and guidance concerning employment-related issues, maintaining appropriate policies, procedures and guidelines related to employment law matters, staying up to date on employment law changes impacting the business.

Qualifications: JD Degree and membership in at least one state bar. 5+ years of relevant corporate experience, including at a major law firm; a combination of both in-house and law firm practice experience is preferred. Experience in corporate governance, M&A transactions, investment and other corporate development activities. Someone with superior interpersonal skills, ability to be nimble and team-first attitude. Someone with sound and practical business judgment. Someone with excellent writing skills and project management ability. Someone with drive and adaptability. Someone with a strong work ethic and creative legal mind. Someone who is comfortable managing competing priorities and deadlines while maintaining quality work product under pressure. Someone who can manage projects effectively, with a team-oriented approach.
