Director, Corporate Counsel (M&A, Investments, and Integration) Responsibilities: Lead and coordinate legal support for multiple (often simultaneous) global M&A and integrations. Work with corporate development and social impact to lead, support, and expand the innovation and social impact investments arm. Manage all aspects of M&A and investments, including coordinating with business leaders. Effectively manage outside counsel and control the cost of engagement. Manage junior team members. Maintain a strong network of law firms and in-house contacts. Develop and maintain deep knowledge of Splunk's business and markets. Build strong relationships with business partners in corporate development, investor relations, public relations, marketing, stock administration, treasury, tax, payroll, HR, social impact, and other legal specializations to ensure the right level of support and collaboration. Engage with executive deal sponsors and senior business and functional leaders to drive deal structuring and issue resolution. Lead the refinement of M&A and investments and legal department integration strategy. Develop playbooks that incorporate prior experience and industry best practices across key workstreams. Drive continuous improvements, scalability, and operational excellence in deal processes and execution. Stay up to date on developments affecting M&A and investments and integration. Support other corporate legal projects as needed.

Qualifications: J.D. and in good standing to practice law in the State of California. 10+ years' experience primarily in M&A and investments with 5+ years at a law firm; a combination of both tech in-house and law firm practice is preferred. Demonstrated understanding of relevant laws and best practices and experience counseling management and boards. Superior judgment with the ability to understand the criticality and urgency of new and ongoing issues and prioritize them as appropriate within a demanding, fast-paced and sometimes ambiguous environment, providing clarity and direction to the team and others throughout the company. Track record of effectively influencing, leading, collaborating with and motivating others at all levels of an organization. Strong team, business, project and people management skills; strong business and legal negotiation skills, and strong client counseling and communication skills. Ability to find creative solutions to issues, taking a pragmatic approach when balancing legal risks against business interests. High personal standards of excellence and ethics, as well as the ability to act with discretion, and sensitivity. Flexibility to assist the corporate legal team in its activities and its mission as needs arise. Familiarity with and interest in enterprise software and data-oriented technologies.
