Corporate Counsel - Transactions Duties: Assist with mergers and acquisitions. Assist Legal and M&A teams in preparation of letters of intent, term sheets and analysis of transaction opportunities. Drafting of acquisition and related agreements. Assist with legal due diligence activities. Assist in review and preparation of disclosure schedules. Assist with development and implementation of integration plans. Support commercial business activities by using independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and other legal documents (including drafting and negotiating agreements, client and vendor agreements, consulting agreements, software license and service agreements, insurance carrier appointments and other insurance-related documents and agreements). Advising business teams on compliance with legal policies and procedures, as well as, assisting with regulatory, compliance and corporate governance matters generally.. Assist in corporate secretary functions, including drafting meeting minutes, written consents and development of meeting agendas.. Identify proactive solutions that will eliminate or mitigate risks. Analyze legacy contracts to determine applicable terms, conditions, and growth opportunities. Handle complex, significant matters that cut across legal and related areas. Keep abreast of legislative or regulatory changes. Anticipate issues and estimate risks strategically. Base each decision-making process on ethics and integrity.

Qualifications: Bachelor's Degree, and Juris Doctor Degree from an ABA Accredited Law School required. License to practice law in at least one state (preferably Florida) required. 2-5 years of transactional legal experience (whether with mergers & acquisitions (M&A), real estate closings, securities offerings or commercial finance closings) with a regionally or nationally recognized law firm and/or an in-house legal department preferred. Strong project management skills, including the ability to prioritize, balance, and manage multiple tasks simultaneously. Ability to appreciate the importance of meeting deadlines. The ability to concisely and effectively communicate complex matters in oral and written form is required. A strong work ethic. Comfortable with a remote working environment. Solid analytical skills and solution-driven thinking; exceptional problem-solving, organizational and analytical skills and demonstrated attention to detail. Intellectual curiosity and active desire to learn about AmeriLife's products, technology and market segments. Demonstrates the organization's core values, exuding behavior that is aligned with AmeriLife's culture. Maintain confidentiality and exercise a high standard of judgment and discretion.
