Corporate Attorney DUTIES: Contributes to success by providing legal advice and counsel around healthcare technology contracting to management and other key stakeholders as needed, including structuring, drafting, and negotiation of client service agreements, technology and licensing agreements and other commercial agreements, providing ongoing legal counseling and pro-active support in the areas of intellectual property and regulatory compliance (HIPAA, the HITECH Act, the FCRA and other healthcare and privacy laws) and handling corporate record maintenance. QUALIFICATIONS: Must have strong academic credentials including a J.D. degree from a top law school. Membership is required in either the state bar of residence, or California or Texas. Must have 5-7+ years of legal experience at a top national law firm and/or in-house position. Healthcare experience is preferred including compliance with federal, state and local laws and regulations such as HIPAA, the FCRA and privacy laws. Should have experience as a transactional attorney, preferably with some portion of that experience in technology and commercial transactions including drafting and negotiating software as a service agreement, license agreements, channel partnerships and other technology agreements. Must have experience in developing and executing upon intellectual property protection strategy; experience with corporate governance, corporate record keeping and stock option administration; experience with mergers and acquisitions. Must have strong analytical and communication skills are a must, along with strong project management, drafting and negotiating experience; attention to detail and excellent judgment and use of discretion; excellent organizational and time management skills with the ability to set priorities. Must possess?the ability to manage numerous projects simultaneously under deadline pressure and the initiative to address problems and make continuous process improvements; strong computer skills essential including Microsoft Word, Excel and Power Point. Must be enthusiastic about the health care and technology sectors, hard-working and practical with a can do attitude.?Must be a self-starter and demonstrate superior professionalism and integrity, good business judgment and a strong work ethic.?Must be able to work independently; and collaboratively as a team.
