Senior Corporate Attorney

Senior Corporate Attorney The candidate will assist sales, marketing, technical and business development teams in negotiating and drafting major commercial agreements such as sales and product supply agreements, technology licensing, purchasing, and partnering agreements. Will provide guidance on a wide range of legal issues, including key commercial terms, risk allocation, IP protection, confidentiality, privacy and data security laws and regulations. Understand key applicable product safety and environmental regulations in the countries where we operate. Lead legal efforts for M&A transactions, including due diligence, negotiation of key reps and warranties, and the structuring and negotiation of ancillary licensing and transition services agreements. Communicate with management and manage outside counsel as needed. Collaborate cross-functionally with a wide variety of Firms business units and international offices. Support continuous improvements of forms, policies, and processes to help streamline, and simplify the contracting processes, including selection and integration of leading edge legal operations technology. Keep up to date on the latest developments in applicable laws, regulations, and industry trends. Provide creative and continuous improvement to simplify contracting and contract management. Manage international legal issues related to both contracting and employment. The candidate should have J.D. from an accredited law school. Must have active Bar membership and in good standing in a U.S. state, preferably Illinois or California. Must have 8-10 years of legal experience as a practicing lawyer in a fast-growth, global, business ? preferably high technology or automotive/EV, or in a firm advising clients in these industries. Deep experience with commercial transactions, intellectual property, and demonstrated comfort getting experience in new areas of the law and business needed. Must have strong drafting skills, including technology and commercial equipment and vehicle sales experience. Strong interest for and/or experience in scaling legal operations, developing and implementing policy, and building systems and processes across rapidly growing organization that is publicly traded is needed. Demonstrated experience managing and negotiating transactions including licencing opportunities, customer purchase agreements, joint development agreements, supplier and other strategic alliances is required.
