Senior Corporate Counsel, Cloud The candidate will act as the primary legal counsel for key engineering teams developing the Azure platform; execute and manage high-impact and complex legal matters. Serve as a key business partner and valued legal advisor to senior level clients and colleagues by providing actionable advice on a wide range of issues (e.g., IP licensing and business model development); collaborate and advise on strategy to drive meaningful conversations that are grounded in in-depth understanding of product group. Identify and anticipate legal and other risks (e.g., geopolitical, country, reputational, etc.) in client's business, technology, and/or public policy, and develop creative solutions and alternatives to mitigate future risk. Manage relationships and develop partnerships with outside counsel; engage clients and collaborate with outside counsel or other service providers to develop strategies and innovative solutions to address business issues and achieve business objectives. Draft new and novel policies and agreements; negotiate a variety of transactional documents (collaboration agreements, inbound and outbound licensing). Review, interpret, and analyze legal information and become an internal thought leader by maintaining a strong understanding of primary legal area and of legal principles outside of primary area. Monitor business activity to ensure legal compliance policies/standards are followed and mitigate associated risks; advise and help clients understand complex compliance issues; facilitate development of creative solutions to complex issues. Identify and engage appropriate stakeholders in Corporate External and Legal Affairs and the Azure engineering team to escalate issues and drive decisions; provide guidance to other attorneys and paralegals on escalations. Proactively engage industry, business, or legal groups to drive Microsoft's policy objectives and external outreach initiatives (e.g., conferences, hearings, consultations, conducting workshops, volunteering for committees, leading recruiting activities). Develop and strategize positive relationships with external and internal legal professionals, academics, government officials, customers, and/or partners in an effort to protect and advocate Microsoft's interests and to drive results. Partner with business teams to develop policies and best practices related to legal and regulatory issues. Provide continuous feedback and evaluate processes for improvement; contribute to significant operational improvements (including timeliness, quality improvement, and cost reduction); develop and implement recommendations that increase efficiencies within work group and for the delivery of legal services to clients. Collaborate with Corporate External and Legal Affairs, across internal groups, senior management, senior-level business leaders, and clients to ensure a coordinated voice; provide guidance to frame issues in a clear and concise manner. Organize and simplify complex/multi-dimensional issues to recommend a clear course of action among alternatives. Should have JD (or equivalent) and license to practice law in the US. Must have 7+ years experience as a practicing attorney. In-house counsel experience is required. Should have significant experience in intellectual property transactions and counseling
