Associate General Counsel, Energy The candidate will report to the Director and Associate General Counsel, Real Estate and work closely with the company's Energy Team, members of which are dispersed across the US. Will assist with the procurement of clean and renewable energy for the company's data centers. Given the geographic diversity of the data center portfolio, the energy suppliers include regulated and deregulated utilities, energy co-ops, and other energy suppliers. These supply arrangements range from basic to sleeved renewable supply arrangements, including through the development of new green tariffs. Work with the company's Energy, Environment and Site Selection Team and to secure the energy infrastructure necessary to support the company's data centers. This work would include drafting and negotiating agreements with utilities and energy transmission operators for the expansion of their infrastructure to serve the company's data center load. Provide in-house legal support for the company's monitoring and participation in proceedings before public utilities commissions that impact our energy supply and infrastructure arrangements, as well as other proceedings that impact the company's access to and costs for energy supply in a particular region such as rate cases, rulemakings, and integrated resource plans. Support the company's CaRE (Clean & Renewable Energy) Team with the procurement of green energy for data centers. This work would include the negotiation of virtual PPAs, REC purchase agreements, sleeved PPAs, and energy storage agreements among other things. Assist with other strategic initiatives that further the company's commitment to clean and renewable energy. Assist the company's Energy Team with operational issues relating to the large portfolio of energy related projects and contracts. Flag issues and seek guidance from other subject matter experts as needed (e.g., risk management, finance, tax, etc.). Hire, closely manage, and direct outside counsel. Should have a J.D. degree (or foreign equivalent) and membership in at least one US State Bar. Must have 8+ years of legal experience, including at a law firm and/or in-house experience. Experience drafting and negotiating contracts is required. Experience structuring, drafting, and negotiating sleeved green energy supply arrangements and tariffs for industrial energy consumers (e.g., data center, manufacturing, and similar projects) is desired. Experience monitoring or participating in ratemaking and resource planning proceedings before public utilities commissions is an asset. Experience working at or with a technology company is a plus.
