Associate Commercial Counsel or Contracts Manager Responsibilities: Review, revise, and negotiate commercial contracts in accordance with company standards. Liaise with internal/external stakeholders regarding document and deliverables requests. If appropriate to the role, provide legal guidance to internal customers on commercial matters. Conduct legal research. Assist the Corporate Counsel & Data Privacy Officer in drafting contracts, SOWs, amendments, and exhibits templates, as well as creating SOPs, policies, legal tools, and conducting language audits. Assist in the creation of in-house presentations and legal educational materials. Implement and maintain department process improvements, workflows, and document controls. File documents, maintain contract management system. Assist with legal analysis, and due diligence.

Qualifications: JD Degree and Bachelor's degree and law license to practice in at least one jurisdiction are required. 3 - 5 years of experience negotiating complex commercial contracts, including IP licensing. 3 - 5 years of experience drafting and negotiating a high volume and variety of commercial contracts, nondisclosure agreements, contract amendments and statements of work. Knowledge of privacy and state, federal, and foreign data protection laws is a plus. Strong legal drafting skills are a plus. Highly skilled in MS Office, G-Suite, Apple computer products, and DocuSign. Proficiency in salesforce.com or other contract management systems is a plus.
