Director, Corporate Counsel Duties: Providing practical legal advice and counsel that furthers business strategies and objectives. Drafting and negotiating commercial, technology, and real estate contracts, including related term sheets and letters of intent. Managing litigation and regulatory claims, including resolving pre-litigation disputes, developing litigation strategies and management of outside counsel and. Manage and develop legal department operations and processes as directed by General Counsel. Resolving regulatory inquiries, conducting internal investigations and managing outside counsel with investigations. Advising the business on compliance issues and working collaboratively with business teams to establish operational processes compliant with relevant law. Alerting the business to legal and legislative developments. Developing and updating company policies. Directing and conducting legal due-diligence efforts. Lead various projects impacting business, operations and revenue, and liaise with senior management, business divisions, consultants, outside counsel, and other parties as appropriate. Other tasks or projects as directed by General Counsel.

Qualifications: JD Degree required from an accredited law school, admitted to practice law and good standing in Ohio or another state with ability to become licensed or registered as in-house counsel in Ohio within 12 months of employment and as soon as possible upon hire. Bachelor's degree from an accredited college or university. 5-7 years experience in relevant areas of the law in either a private practice or in-house setting, with a desire to grow and learn new areas that will assist the organization. Candidates with a combination of both experience in private law firm and in-house legal department for a publicly traded company are preferred. Highly organized with exceptional attention to detail. Ability to supervise a small staff of employees. High level of competence in legal research tools and proficiency with business software including MS Word (redlining) and other software-as-a-service platforms utilized by business and legal teams. Demonstrated exceptional academic and professional achievement. Strong working knowledge of in broad areas of the law including general business, commercial, and consumer protection laws. Flexible attorney with focused experience in commercial litigation, legal and business transactions, and excellent soft skills, including a demonstrated a willingness to learn, enthusiasm for being a part of the Company's in-house legal department, and a hard-working and ethical legal partner with a customer service mindset. Effective communication, interpersonal, and negotiating skills, including emotional intelligence to work optimally with business partners at all levels of the company, as well as externally. Experience in commercial contracts and corporate transactions, including mergers and acquisitions. Ability to work independently as a legal project leader. Experience working effectively with senior-level management. Ability quickly and accurately to issue spot and recognize areas of risk and opportunity. Excellent communication skills, both speaking and writing. Strong customer-service orientation. Creative thinker with strong problem-solving skills. Works well collaboratively on both legal and business teams. Quickly able to assess business and legal risks. Asks why  at the right times and knows how to develop the answer. Litigation management and dispute resolution experience, including resolution of OSHA complaints, EEOC charges and other litigation-related disputes.. Experience reading, researching, analyzing, and interpreting general business requirements, technical procedures, and governmental regulations. Experience drafting contracts, reports, business and legal correspondence, and business policies. Experience effectively presenting information and respond to questions from groups of managers, clients, customers, and the general public.
