Corporate Counsel- Executive Compensation The candidate will own the legal function of administering equity plan, including drafting and reviewing grant agreements, purchase agreements, transfer documentation and related loan agreements, including purchases in conjunction with acquisitions. Along with the stock plan administrator, maintain and update the stock database, prepare reports, perform analysis and liaise with finance regarding the same. Manage and collaborate with outside counsel to update and amend plan documents from time to time. Support securities counsel and finance on compensation-related disclosure and corporate governance matters, including developing and monitoring compliance with insider trading and related policies. Coordinate with global offices of the company to ensure equity-related transactions are accurately documented and effectively managed and tracked. Assist with communications related to trading windows, vesting schedules, exercise process and eligibility. As needed, assist with designing and drafting appropriate employment, retention and separation agreements. Create understandable legal training guides on employee compensation topics and present them to colleagues. The candidate should have a Bachelor's degree from an accredited undergraduate institution. Should have Juris Doctor degree and strong academic record from an accredited law school with 3+ years of legal experience in executive compensation and employee benefits at a major law firm or with a sophisticated in-house legal department. Should have membership in good standing with a United States State Bar, exceptional organizational skills and the ability to maintain highly detailed records, demonstrated excellence in analyzing, negotiating and drafting contracts, solid understanding of tax and estate planning principles, including sections 409A and 280G, superior communication skills necessary to coordinate amongst all levels of internal teams and business units, professional service providers, and outside counsel, enthusiasm and energy to contribute to and thrive in an energetic and rapidly-evolving company with a collaborative atmosphere. Should be a self-starter with an appetite for problem-solving and the ability to projects or tasks to see goals through to completion.
