Associate General Counsel, Corporate and M&A Duties: Provide legal support and services to the Company and affiliate companies as assigned by the General Counsel. Support Compliance, corporate growth initiatives and supervise a team of cross-functional in-house counsel. Manage a broad range of transactions including merger and acquisition (M&A) and financing deals from the initial stages through post-acquisition integration, strategic partnerships, and negotiating and drafting the agreements for those transactions. Provide Oversight and Legal Advice with Respect to the Company's M&A Transactions: Structuring transactions, managing the team's drafting and reviewing of agreements, overseeing the due diligence process, and overseeing and managing post-closing activities. Work to ensure consistency regarding process and contract terms from deal-to-deal and implement processes to ensure that the institutional knowledge acquired in connection with each transaction is captured and shared throughout the M&A function. Develop and maintain a repository of M&A legal resources that are required for company business needs. Work closely with the Director, Mergers, and Acquisitions to advance the Company's M&A pipeline. Anticipate and Address Legal Matters: Develop resolution strategies, lead/oversee and/or personally execute on these matters and handle potentially difficult situations diplomatically. Advise Executive and Senior Management on various matters such as legal risks, new and existing laws, and regulations. Leverage experience using effective business growth and risk management techniques to offer proactive advice that enables the company to maximize opportunity and minimize liability. Support the Company's Compliance Department: Support the Company's Compliance Department on a range of matters such as, but not limited to policies and procedures, data privacy, HIPAA compliance, and regulatory matters. Provide expertise in the formulation and development of new policies and revision of existing policies; and provides expertise and advice in the implementation and application of policies. Manage a team of Attorneys and a Legal Assistant/Paralegal.

Qualifications: Juris Doctorate (J.D.) Degree from an Accredited School of Law. Licensure in good standing. 10+ years of combined experience within both a large law firm and in-house company. Experience with M&A transactions and corporate governance matters. Experience in both private and public company acquisitions. Extensive knowledge of corporate law, mergers and acquisitions, Medicaid and Medicare managed care, and HIPAA privacy laws and regulations. Solid understanding of structural and corporate issues pertaining to M&A transactions in order to advise internal stakeholders appropriately. Proficient in the use of Microsoft Office, including Outlook, Word, Excel Access, and PowerPoint. Ability to handle an array of confidential matters and maintain the highest level of confidentiality. Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Ability to establish and maintain strong relationships across the organization's various departments. High level of initiative. Excellent strategic and organizational skills. Ability to quickly assimilate complex information and assess the big picture. Ability to make sound judgment calls. Ability to take an active role in leadership, including the professional development and mentorship of Legal team members.
