Director, Corporate And Securities Counsel

Director, Corporate and Securities Counsel Responsibilities: Provide legal advice and support with respect to matters arising under federal securities laws, SEC rules and regulations, SOX, securities exchange listing requirements, and review/prepare 34 Act filings including in the preparation, Forms 10-K, 10-Q and 8-K. Support and advise on public and private debt and equity financings; review and prepare related 33 Act filings. Provide legal advice to the Company, senior management, and the Board and its Committees in connection with corporate governance matters and Board/Committee meetings. Advise on the legal risks accompanying business strategies and decisions; review enterprise risk to senior management and Board. Advise on transactional matters; prepare, review and negotiate merger agreements, product/asset acquisitions, option agreements and other transactional agreements and term sheets; perform in-depth due diligence for potential new transactions. Partner with investor relations and corporate communications in connection with public communications and presentations. Assist with shareholder engagement matters and annual shareholder meeting matters. Assist in the preparation, coordinate legal input and provide overall legal support for proxy statements and related materials, including the compensation discussion and analysis. Prepare, review and provide compliance and disclosure advice concerning Section 16 reporting. Perform SEC, NASDAQ and general corporate governance and disclosure research and analysis. Help maintain accurate corporate records and documentation and provide ongoing administration and data maintenance of subsidiaries on a global basis (domestic and international). Draft and maintain shareholder and board resolutions, consents, agendas, secretary's certificates and other records. Provide general legal support various internal clients across a variety of functions, including legal advice and contract drafting as needed. Work closely with and efficiently manage outside counsel as needed.

Qualifications: JD Degree from an accredited law school and bar admission in good standing in at least one state. 4+ years of experience in a large law firm and/or in-house (preferably at a publicly traded biotechnology or pharmaceutical company). The ability to work interactively within and across multiple departments and manage priorities effectively. Self-motivated and ability to work independently on projects, while meeting deadlines and prioritizing multiple matters. Excellent oral and written skills with the ability to think critically. Possess excellent contract drafting and negotiation skills. Can bring strong interpersonal and conflict resolution skills.
