Corporate Counsel Duties: Proactively identify, analyze, and mitigate legal risks. Develop and review contracts and assist in a wide variety of contract negotiations and disputes with customers, vendors, and partners, including, but not limited to agreements with payor clients, master service agreements, software licenses, transportation agreements, customer agreements, and non-disclosure agreements. Maintain engagement and collaboration with internal and external stakeholders during contracting process. Support the Legal Department's contract management and administration process. Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients. Provide legal support on business transactions, initiatives, and projects, and, if possessing applicable experience, SEC reporting and disclosure requirements. Set strategy for, manage, and provide advice to senior leadership and the business on corporate legal matters. Conduct legal research, interpret law, and determine applicability of new laws. Assist with budgeting and forecasting for corporate legal matters. Assist with quarterly reporting to Finance and Accounting teams, management, and external auditors. Lead and manage the activities of outside counsel and coordinate internal efforts to meet corporate legal requirements and strategy. Drive change and execute on any lessons learned and best practices.

Qualifications: JD Degree from an accredited law school. Active license to practice law in a jurisdiction *** conducts business in. 5+ years of relevant, broad-based corporate legal experience gained in an in-housel legal department or law firm. Experience with prioritizing and handling numerous competing demands in a high volume and fast-paced environment. Aability to independently move projects forward by gaining support needed from stakeholders across the company and working in a cross-functional role. Highly proficient in Microsoft Office applications (Word, Excel, PowerPoint and Visio), Adobe Acrobat and Smartsheet and Google applications (Gmail, Drive, Docs, Sheets and Notes), as well as the ability to learn and use proprietary computer systems and databases. Be business-minded, highly detail-oriented, organized, proactive, efficient and resourceful with exceptional follow-through skills. Be able to simultaneously manage workloads, multiple client demands, and competing and shifting priorities within a fast-paced, rapidly evolving environment while meeting deadlines and delivering results. Exhibit a high degree of professionalism and trustworthiness and a demonstrated ability to handle highly confidential information. Have impeccable professional ethics, integrity and judgment. Be extremely bright but also have an EQ that matches IQ. Have a genuine interest and ability to connect and engage with all levels of employees and management, including senior management, effectively and in a manner that builds, maintains and enhances trust and a positive working relationship. Have excellent communication (written and verbal) and interpersonal skills. Be able to operate autonomously while being a team player who brings a positive, can do attitude to the workplace and works collaboratively with other members of the Legal Department and organization. Have a strong desire to function integrally as part of an interdisciplinary team. Be energized by the challenges of serving a dynamic, hyper-growth company and have a passion for results.
