Corporate General Counsel Responsibilities: Support the growth of by working closely with our leadership team to facilitate all transactions, joint ventures, and new market development. Manage entity formation. Corporate organization charts and ongoing entity reporting and maintenance to ensure all entities are property formed and remain in good standing. Monitor adherence to corporate formalities and entity operations by and between entities. Support matters related to capitalization including grants of equity, transfers, sales and assignment and work with the business to manage all capitalization tables. Support Payor contract implementations and on-going operational compliance, including technical guidance, proactive risk identification and mitigation, and issue resolution with the assistance of outside Counsel. Advise on relevant federal and state laws, CMS regulations, anti-kickback laws, the False Claims Act, and other health care fraud and abuse laws. Partner with stakeholders on policy matters and provide support related to government agency interactions, including inquiries and audits. Provide guidance and research on issues specific to Medicare, Medicare Advantage and other Payor specific requirements. Provide clear, succinct, and actionable written advice to key executive stakeholders that reflects full understanding of the pertinent operations. Monitor, update, document and enhance legal operations tools and resources for clients including use of analytics, matter management and actionable reporting. Work as a member of the legal team and support other work streams as necessary and required. Provide additional legal counsel, as needed, including HR, Finance, and IT. These services will include conference material review, consultation on strategic initiatives, and communications compliance advice, interpretation of documents, and drafting of policies/procedures and program materials. Additional job duties as assigned.

Qualifications: Doctorate Degree in Law. Must have 5-7 years of experience as an attorney with experience in managing health care related transactions. Attorney licensed to practice law issued by the state in Illinois or Tennessee. Ability to run and oversee processes in acquisition and divestiture transactions. Ability to perform under pressure in an extremely fast-paced and constantly evolving environment with a strong sense of urgency and attention to detail. Ability and willingness to drive collaboration across the team and a commitment to transparency on open matters, next steps, and performance measurement. Excellent written and verbal communication and interpersonal skills and the ability to communicate effectively with all levels of employees and other stakeholders.
