Senior Counsel - Corporate and Securities Duties: Manage global M&A, strategic investments, debt transactions, and other strategic transactions, including assisting in drafting LOIs, standardizing due diligence execution across teams, assisting in drafting and negotiating deal agreements, handling outside counsels as needed, and coordinating post-close matters. Prepare board and committee meeting material and the planning of the annual meeting of stockholders, including working with the office of the CEO in preparing Board updates, assisting initiatives in improving governance across compensation and finance teams, and prepare proxy statements and related filings. Advise our real estate team to help execute our global leasing strategy, including reviewing, negotiating, and closing complex lease transactions, particularly as we adapt to a new remote-first world. Prepare reports required by and ensuring compliance with the Securities and Exchange Act of 1934 (e.g., Forms 10-Q, 10-K) and the New York Stock Exchange listing requirements. Partner with DEI, corporate social responsibility, and sustainability teams to build on a growing ESG (environmental, social, and governance) program. Engage directly with executives across the company to understand company priorities and goals, trends in our business, and other issues facing our employees and business. Advise our investor relations team in reviewing and contributing to our quarterly letter to shareholders, partner with our analytics teams on public-facing metrics, and analyze investor communications for compliance with securities laws. Assist as needed in our global corporate governance for subsidiaries outside of the United States. Partner closely with stock administration team in equity administration and Section 16 reporting. Lead and supervise other special or miscellaneous projects as needed.

Qualifications: A JD Degree from an accredited law school. Admission in good standing to practice in jurisdiction. 8+ years of experience in general corporate law. Ability to negotiate and balance legal constraints with business goals. Strong attention to detail with an ability to provide clear explanations to members of other teams, including senior management. Results-oriented attitude, excellent decision-making, and ability to prioritize the highest impact initiatives. Mentality that no task is too big or too small. Ability to seek feedback when needed and opportunities to grow. A collaborative, upbeat work ethic where you can take ownership and have fun. Highly organized, proactive, and motivated to follow through on projects.
