Senior Counsel, Securities and Corporate Governance Duties: Assist with preparing and reviewing SEC filings, including 10-K, 10-Q, 8-K and Section 16 filings, proxy statements, and other SEC filings. Undertake necessary securities law research and provide appropriate guidance. Provide support for the Company's Board of Directors and annual shareholders meetings, including preparing and reviewing materials for the Board of Directors and its committees and the Company's proxy statement. Prepare company documents, such as minutes, consents, resolutions, certificates, charters and policies. Actively engage and collaborate across departments and functions to help develop, establish and implement corporate ESG initiatives, including establishing appropriate frameworks, standards and goals and monitoring compliance. Support global corporate initiatives. Assist with coverage of general corporate and commercial matters as the need arises.

Qualifications: Undergraduate and J.D. degrees from recognized institutions; top academic credentials required. Member in good standing of the bar in the applicable jurisdiction. Prior law firm or in-house experience required. Must have 3-5 years of experience, principally in corporate and federal securities laws applicable to a public company. ESG experience a plus. Sufficient experience to handle responsibilities with a minimum of supervision. Ability to organize, plan, coordinate and implement large and ongoing projects and the ability to work independently and as part of a team. Ability to manage multiple projects simultaneously while prioritizing responsibilities and meeting deadlines. Excellent written and oral communications skills, the flexibility and ability to work in a fast-paced environment, and tenacity to pursue clarification through legal research, with keen attention to detail. Good judgment, a high level of professional integrity, and the discretion, tact, and ability to maintain confidentiality. Work collaboratively with fellow employees, maintaining high levels of customer service and treating all clients with dignity and respect at all times. Ability to perform in a manner consistent with the Company's goals and culture.
