Corporate General Counsel Duties: Provide legal guidance in all aspects of corporate operations, participates in the senior leadership team and contribute to the development of the Company's strategic plans and operating policies and procedures. Provide direct legal counsel to the Company. This involves research and direct application of legal knowledge, as well as oversight and communication with all outside legal counsel on a broad range of topics, including compliance issues, preventative actions and litigation matters. Provide legal guidance and direction to all corporate administrative service units including contract administration, procurement, human resources, information technology, facilities, and security. Advise on and promote compliance with federal and state laws and regulations within all Company operations.. Provide direction and oversight of the Export Compliance team of the Company, direction and oversight to the Internal Audit team of the Company's operations, as well as general oversight of the Internal Audit function for the Company. Participate as a member of the Risk Insurance Committee of the Company. Report directly to the Chief Executive Officer. Participate in formulation of company-wide corporate policies and procedures that address the Company's operations, including the Code of Ethic and Business Conduct.. Ensure the development and implementation of the operating plans and budgets for each of the Company's legal, export and internal audit teams that reflect both the short-term and long-term objectives of the Company. Upon direction and request of the Chief Executive Officer, advise and assist the Company's Board of Directors, Audit Committee and Compensation Committee on matters of corporate compliance and governance. Upon direction and request of the Chief Executive Officer, advise and assist the Board's Compensation Committee with annual executive compensation matters, including equity-based incentive arrangements. Provide legal advice and assistance on various agency compliance issues, including but not limited to DCAA, DCMA and DSS audit findings. Oversight of Company's employee hotline services and any employee comments and complaints. Advise management regarding legal compliance of practices, policies and business activities of the Company. Advise management with respect to legal issues related to the development and implementation of the Company's business strategy and governance issues. Report to the Board and Audit Committee on an as requested basis by the Chief Executive Officer regarding material legal matters. Some travel required. Requirements: Bachelor's degree and a JD degree, each from an accredited educational institution. Requires passage of Georgia's state bar exam and admission in good standing to State Bar of Georgia. 20+ years of work experience as a practicing attorney with a large law firm in corporate/commercial/transactional area, or 15 years of experience as an internal General Counsel for a business of comparable size or larger than the Company. Desired: Must have specialized knowledge, skills and experience, including: High level of integrity, leadership and management skills. Broad scope of legal knowledge, strong legal analysis abilities, strong research skills, and ability to work effectively and efficiently with other lawyers and managers. Excellent written and oral communication skills. Excellent drafting, negotiating and issue identification skills. Excellent judgment and initiative in selecting the most effective solutions. Understanding of corporate business issues and business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and overall risk issues. Detail-oriented and resourceful with excellent follow-through skills and Ability to work under pressure, prioritize and manage workload, manage simultaneous tasks, and meet deadlines.
