Senior Corporate Counsel The candidate will be providing guidance on a wide range of legal, business and regulatory matters and for implementing and managing internal procedures and controls to ensure effective review and management of such matters across the business. Drafting, negotiating, and reviewing contracts across a broad spectrum of activities, from complex multi-jurisdictional agreements to relatively standard commercial agreements, typically from inception through signature. Providing advice and counsel on a wide variety of corporate matters focused on federal securities law, executive compensation, compliance and corporate finance transactions. Providing advice on compliance with SEC and NASDAQ rules and regulations. Assisting in preparation of board and committee agendas, meeting materials and minutes. Preparing and assisting in the preparation of SEC disclosure documents, including Forms 10-K, 10-Q and 8-K, proxy statements and annual reports. Providing support for all public and private securities offerings (both debt and equity). Monitoring and providing advice regarding corporate governance practices to encourage adherence to best practices. Assisting in M&A transaction matters, such as acquisitions, divestitures and joint ventures, as assigned from time to time. Assisting in administration of equity compensation programs and Section 16 filings. Monitoring compliance with the insider trading policy and insider trading laws. Providing support for new business development initiatives including due diligence reviews, negotiation of transaction and drafting/execution of deal documentation. Providing legal guidance for compliance activities; assists with implementing corporate policies; conducts training as appropriate. Providing support for patent, licensing, trademark and copyright matters. Establishing rapport and a working relationship with colleagues at all levels to encourage and continue the proactive use of in-house legal counsel.

The candidate should have a J.D. from an ABA-accredited law school and an active license to practice law, with a strong preference for excellent academic credentials. Should have 8+ years of experience in commercial law consisting of a mix of law firms (preferably AMLAW 100 or equivalent) and in-house counsel practice. Should have excellent judgment with strong analytical and problem-solving skills and an ability to independently drive solutions, excellent verbal and written communication skills with a demonstrated ability to distill complex legal issues into simple actionable guidance. Should have familiarity with both US and international laws, commercial practices and trade terms (e.g. competition laws, anti-bribery laws, trade controls, Incoterms, freight and transportation matters), ability to draft and negotiate commercial agreements across a range of disciplines, including supply and vendor agreements, services agreements, equipment purchase, contract manufacturing agreements, sales agency and distribution agreements, license agreements, joint development agreements, term sheet and letters of intent. Should have experience with intellectual property protection, management and oversight.
