Corporate Counsel The candidate in collaboration with applicable business personnel, draft, review, negotiate and administer commercial contracts, including confidentiality agreements, client agreements, statements of work, license agreements, partnership agreements, consulting agreements, supplier and other vendor agreements, leases, licenses, purchases, employment, insurance, mergers, acquisitions, marketing and advertising agency, research and development and related agreements. Provide legal advice on employment, immigration, labor negotiations, unemployment, ERISA and workers compensation. Provide advice and direction to outside counsel and/or represent in defense of discrimination claims, grievances, unfair labor practice charges and all other employee issues. Oversee outside counsel as needed for other areas requiring domain-specific expertise. Prepare, maintain, and update form agreements for and supervise use of contract management system(s). Keep current on legislative issues, statutes, decisions, and ordinances of quasi-judicial bodies. Help ensure ongoing compliance with state, federal and foreign laws, and regulations applicable to the company's business and operations, advising the company regarding concerns on risk assessment and anti-trust regulations. Develop, review, and implement company and/or function-specific training programs on legal and compliance matters. Guide and represent the company to elected and government officials in local and state governmental bodies. Monitor progress of legislative and regulatory issues of interest to the company and provide analysis to company officials. Direct and work with designated trade and business associations, advocacy groups on political, legislative, and regulatory issues of importance to the company.

The candidate should have a J.D. degree from a nationally recognized law school. Must be licensed to practice law in the State of California and admitted to the California State Bar. Should have 3 - 5 years of experience as an attorney. Should have experience working with Corporate HR issues. Experience working for a manufacturing company is preferred. Experience working for a public company is preferred. Should have a problem-solving mindset, a high degree of collaboration with internal clients and colleagues, and the ability to exercise mature and reliable judgment. Must be able to perform in a high-paced environment and prioritize multiple pending matters. Should be a skillful drafter and issue-spotter with experience and a high level of proficiency in preparing, reviewing, and negotiating commercial agreements. Should have experience with litigation and arbitration of employment law cases, exceptional communication, analytical and writing skills, with ability to communicate effectively with employees at all levels of the organization (from junior employees to executives) and distill complex legal concepts into practical, concise, and plain-English advice, strong computer skills (e.g., Microsoft Office Suite (Word, Excel, PowerPoint, etc.), Salesforce, Apttus. Should experience counseling and training businesspersons with no legal background. Should give mature judgment and demonstrated ability to work effectively with senior leaders. Should have the willingness to travel periodically.
