Senior Corporate Counsel

Senior Corporate Counsel Duties: Provides analysis and legal counsel on transactions and agreements to meet organizational goals and objectives. Reviews and interprets laws, statutes and court rulings to ensure compliance and potential impact on the organization. Ensures compliance with laws and agreements thereby limiting exposure to liability. Provides sound recommendations and guidance to meet the legal needs of the organization. Handles administrative duties and projects, including confidential and sensitive internal matters as well as ensures the company's compliance. Legal point of contact for capital market transactions (RBL, HY offerings). Legal point of contact for drafting and reviewing Exchange Act reports. Legal point of contact for marketing and midstream transactions. Review and comment on financial statements and investor relations communications. Advise officers and other senior managers on various securities and corporate governance matters.

Requirements: JD Degree required. Member in Good Standing of the Oklahoma Bar. 10+ years of experience in an oil and gas Legal department. Previous experience in a Corporate Attorney role for an exploration & production company. 10+ years of prior legal experience is desirable. Knowledge of credit agreements, indentures, guaranties & surety bonds, hedging agreements. Knowledge of gas processing agreements, transportation agreements, firm transportation agreements and asset management agreements. Through understanding of Exchange Act reporting and compliance. Excellent writing skills. Demonstrated leadership. Analytical skills and strong interpersonal skills are required. Preferred: Drafting transactional documents. Financial Analysis disclosures. Previous experience in a Corporate Attorney role for an upstream oil and gas company that was a public reporting entity and/or went through the IPO process to become a public company.
