Director, Legal & Compliance Counsel Responsibilities: Responsible for conducting research; drafting memoranda, policies, procedures, training materials and similar company communications; and provide general advice and counsel relating to state, federal and local regulatory compliance issues affecting mortgage lending and servicing operations. Perform all duties in accordance with the company's policies and procedures, all US state and federal laws and regulations, wherein the company operates. Researches, implements and manages the areas related to lending, servicing and other general mortgage and real estate-related regulations, policies, public interest laws, and consumer protection. Develops and reviews company policies and procedures. Evaluates business activities (e.g., origination practices) to assess compliance risk. Works closely with business unit executives in the task of overseeing and guiding the decision-making and implementation of compliance policies and advising about risk management. Creates and manages effective action plans in response to audit discoveries and compliance violations. Creates sound internal controls and monitors adherence to those controls. Provides support and advice to Human Resources regarding training staff on compliance procedures. Initiates investigations that are related to instances of possible non-compliance or to ensure that proper compliance is taking place. Provides reports and supervision to the Chief Compliance Officer and senior management on compliance issues. Performs other duties as assigned.

Qualifications: A law degree from an accredited law school. 5 years of recent experience as a lawyer required. Must be a Member of at least one State Bar and in good standing. Previous experience in the industry assigned to (mortgage lending, loan servicing, and/or real estate) familiar with recent changes in state and federal laws in assigned area(s) required. In-house and law firm experience preferred. Previous experience reviewing and revising policies and procedures devised by the business to minimize risks and ensure compliance required. Previous experience managing outside counsel costs preferred. Expertise counseling assigned business unit operations to remain compliant with all laws and regulations on a federal and state law level including TILA (including Reg Z), RESPA (including Reg X), ECOA (including Reg B), FCRA (including the FACT Act), Fair Housing/Fair Lending (including HMDA), FDCPA, TCPA, GLBA, and the Bankruptcy Code as appropriate. Excellent ability to analyze and interpret legal and statutory materials as well as state and federal regulations. Strategic development skills needed to create reliable internal controls and monitor adherence to those objectives. Ability to operate in a fast-paced, high-volume environment. Ability to work with and leverage an experienced licensing and sophisticated legislative tracking team Ability to collaborate with outside professionals, including outside counsel, as needed.. Critical thinking and attention to detail to evaluate business activities (e.g., policies, procedures) and assess compliance risk. Strong, effective and efficient presentation and written skills for interactions with the Chief Compliance Officer and executive/senior management for various complementary business units. Commitment to continued learning, remaining well-informed regarding internal standards and business goals. Excellent collaborative teamwork skills. Attention to detail and strategic thinking style.
