Corporate Counsel The candidate will provide high-quality, effective legal counsel on a variety of legal matters including corporate governance, real estate transactions, and other business matters. Provide legal support for the Board of Directors and Board Committees, including subsidiary governance. Assist the Finance team with credit agreement analysis and financing transactions. Retain, direct, and manage outside counsel. Proactively identify and recommend solutions for legal risks. Draft, review, research, and provide feedback related to legal documents on a variety of corporate transactions. Collaborate with business groups to assess legal risk and provide legal guidance. Should have a Juris Doctor degree from an ABA-accredited law school, with strong academic and professional credentials. Must be an active member in good standing of the California State Bar or California State Bar eligibility. Must have 6+ years of corporate experience is required (either in-house or with a large firm). Have strong work ethic, self-starter, responsible, detail-oriented, and well-organized. Must have the ability to manage and prioritize numerous projects simultaneously. Inquisitive nature; keen desire to learn about our business and to help find innovative and creative solutions. Must have excellent written and verbal communication skills, ability to effectively and appropriately communicate legal risk and advice to internal stakeholders. Have excellent interpersonal skills, including the ability to work collaboratively in a team environment and build relationships with team members and external partners at all levels.
