Associate General Counsel - Corporate & Governance

Associate General Counsel - Corporate & Governance Responsibilities: Help build a best-in-class corporate and securities function; Provide legal support for corporate transactions, including securities offerings, financings, investments, and other strategic transactions; Manage the team responsible for the Company's corporate governance policies and procedures, including creation and management of new legal entities and drafting intercompany agreements; Lead the legal team responsible for drafting materials and resolutions for the Company's board of directors; Ensure compliance with securities laws, rules and regulations; Partner with the Finance team to manage securities law compliance efforts, including the development and maintenance of policies, procedures, and training initiatives; Work with the Finance, People and Legal teams with respect to the administration of the Company's equity plans, including relevant financial reporting, administration, and disclosure issues; Take an active role in leadership, including the professional development and mentorship of Legal team members; and Provide advice and counsel to business team leaders on securities and governance matters, in consultation with other members of the Legal team and outside counsel, as necessary. Qualifications: Must be in good standing and be admitted to a U.S. state Bar; 10+ years of combined experience within both a large law firm and in-house company; Well-versed in capital markets, securities law, and corporate governance; Experience in a startup or emerging growth company is a plus, ideally at a technology or consumer-facing company; Ability to prioritize, remain organized, and execute effectively within a fast paced, team-oriented environment; A detail-oriented, self-starter attitude with the ability to think critically and exercise independent judgment; Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization; and Ability to establish and maintain strong relationships across the organization's various departments.
