Senior Counsel, Corporate & Securities Duties: Providing advice and counsel to senior management on company's compliance with applicable securities laws, NASDAQ rules and regulations, Sarbanes Oxley, and other regulations impacting US public companies. Preparing and/or reviewing SEC filings including 10-K, 10-Qs, Proxy Statement, 8-Ks, Section 16 reporting (Forms 3, 4 and 5), and 33 Act registration statements. Assisting the general counsel on corporate governance relating to the company's Board of Directors. Providing advice and counsel on director and executive compensation and equity incentive plan matters and related securities matters (including preparation of registration statements on Form S-8). Developing and maintaining corporate policies on governance, trading in securities and managing public disclosures. Being responsible for handling trading compliance (including 10b5-1 plans) and stock ownership requirement compliance. Advising and supporting the Corporate Development team on acquisition and strategic investment program. Qualifications: Have a JD Degree from an ABA-accredited law school, be admitted/licensed to practice in a relevant jurisdiction, and be an attorney in good standing. Have 7+ years' experience as corporate counsel, associate or assistant general counsel, working with clients in the technology and telecommunications sectors, or equivalent. Demonstrate comprehensive knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and the rules and regulations of the SEC under those acts, and of the requirements of NASDAQ, as well as Sarbanes Oxley. Demonstrate financial literacy, comprehension/articulation of corporate finance disclosure issues and understanding of Delaware Corporation Law. Be proficient in the principles and practice of major aspects of corporate law. Have excellent research, writing, drafting and communication skills with significant client focus and collaboration with other functions and the business. Have excellent business judgment and ability to assess legal risk while also thinking strategically and providing practical advice.
