Corporate Counsel Duties: Manage the full cycle legal process of a high volume of physician practice acquisitions including:. Collaborate and partner with business development team to project manage deals. Review and manage due diligence materials. Draft purchase agreement, employment agreements and various related transaction documents. Assist general counsel in negotiating deal documents with opposing counsel. Liaise with operations, real estate, HR and finance teams to ensure smooth practice integration. Coordinate closing logistics. Contract review including, but not limited to real estate leases, employment agreements, business associate agreements, nondisclosure agreements, medical equipment and other vendor leases and purchase agreements. Draft and negotiate physician employment agreements. Assist with healthcare regulatory research and compliance trainings. Oversee contract tracking and management (real estate leases, employment agreements, vendor contracts, etc.) and inventories of litigation and compliance matters. Coordinate state entity filings and various other corporate governance matters. Work with the General Counsel to align the legal department's efforts with strategic mission of business team. Qualifications: JD Degree and license to practice law in Tennessee. 2 3 years of associate experience in a law firm. Healthcare acquisition experience in corporate practice group setting highly preferred. Demonstrated success prioritizing and meeting time-sensitive deadlines. Excellent interpersonal skills and the ability to maturely interact across a broad spectrum of people, including multiple levels of management and physicians. Exposure to high-growth, early-stage startups is a plus.
