Temporary Part-time Corporate Counsel

Temporary Part-time Corporate Counsel Responsibilities: Negotiating and documenting customer and vendor agreements. Researching legal issues. Assisting with a broad mix of corporate legal matters. Working very closely with other members of the legal department, and also with team members in Finance, Sales, Customer Success/Account Management, Sales Operations/Revenue Execution, Human Resources and Marketing. Be a member of the legal team supporting the sales organization by negotiating and documenting customer-facing agreements. Customer-facing agreements include, among others, non-disclosure agreements, master services agreements (consisting of service orders, commercial terms of service, data processing agreements, Service Level Agreements, etc.), customer renewals, and contract amendments. Reviewing and negotiating vendor-side contracts. Collaborating with and supporting other members of the legal team to efficiently process contract drafting and negotiation matters. Working closely with other members of the legal team and other functional areas including finance, sales operations, customer success, and human resources to handle non-contract legal matters that may arise from those departments. Maintaining appropriate expertise in the areas of law applicable to technology contracts and related fields. Qualifications: A 4-year College Degree and a J.D. Degree from an Accredited Law School, with strong academic performance. Admission to a State Bar with eligibility to practice law. 5+ years of lawyering experience. Preferably both law firm experience and in-house experience, ideally with a technology-oriented business. Commercial law expertise and contract management experience is an advantage. Proficiency in the Microsoft Office Suite of applications including WORD, Excel, and PowerPoint. Familiarity with CRM (customer resource management) systems such as SalesForce.com and with electronic signature systems (e.g. EchoSign) is a plus.
